| Definitions Service Providor - the company (Soccer Spreads) who is providing the Service to the Member. Member - the party to whom the Service is being provided. The Service - the transmission of the latest ratings to the Member by the Service Providor. Site - the Soccer Spreads website. Copyright i) The ratings supplied are the copyright of Soccer Spreads 2004, all rights are reserved. They are supplied on the strict understanding that they are for the Members or Subscribers sole use only and that they will not be sold, given or in any way made available to any other third party. No part of these ratings may be stored or recorded in any storage and retrieval system, mechanical, electronic or photographic, or by any other means, and no part of them may be transmitted or reproduced in any form or in any way. ii) This website has been compiled and published by Soccer Spreads who are the sole owners of the copyright. Reproduction, copying or image transfer by any means is expressly prohibited. All intellectual property rights are reserved under English Law. Legal action will result in any breach without the express consent of Soccer Spreads. Anyone using these ratings as a basis to speculate on football matches via spread betting, fixed odds betting or any other betting medium do so entirely at their own risk. The ratings are meant as an indication only and members must use their own judgement when deciding whether to speculate on any particular situation. iii) Spread betting can be very volatile and members or subscribers should only speculate with money that they can comfortably afford to lose. It may not be suitable for all investors; therefore all users must ensure that the risks involved are fully understood, seeking advice if necessary. iv) All efforts have been made to ensure that the information in the ratings and on this website is accurate and based on the latest information made available. In no circumstances can Soccer Spreads accept liability for any loss or damage of any kind which may result from any error in any HTML file or on any page within the site. v) Use of the the Service is entirely at the individual Members or Subscribers own risk. The Service i) The Service is that of a membership based football statistics information service. For the consideration of membership fees paid the Service Providor shall send all Members the spread betting ratings for all Premiership and Division One football matches to be played within the next few days according to the Service Level. These ratings shall be supplied via e-mail as standard HTML files. Service Level i) For matches to be played over a weekend (Friday through to Monday) the ratings will normally be transmitted by 10pm on the Thursday evening before the matches are scheduled to be played. The ratings will be transmitted at the latest by 10am on the Friday morning before the matches are scheduled to be played. ii) For matches to be played on a weekday evening (Tuesday through Thursday) the ratings will normally be transmitted by 8pm the evening before the matches are scheduled to be played. The ratings will be transmitted at the latest by 8am on the morning the matches are scheduled to be played. iii) For matches to be played on a Bank Holiday the ratings will normally be transmitted by 9pm on the evening before the matches are scheduled to be played. The ratings will be transmitted at the latest by 9am on the morning the matches are scheduled to be played. iv) Over 80% (eighty percent) of transmissions will be sent within the 'Normal' Service Level definition. v) For matches where the Referee is not known the ratings will be generated and the HTML file(s) transmitted with the Bookings Index and Team Bookings fields set to italics. When the Referee is known the ratings will be re-generated and HTML file(s) will then be re-transmitted with the Bookings Index and Team Bookings fields set to normal typeface. These second transmissions may fall outside the Service Level definition. Membership i) All members must be at least 18 (eighteen) years of age. ii) Membership shall entitle the Member to receive the Service until the end of the current football season in which the membership was taken out. Membership also entitles the member to access the Soccer Spreads Discussion Forum and to also receive the Soccer Spreads Excel spreadsheets (including the latest volatilities) for the current season. iii) The Soccer Spreads membership shall be limited to 200 members only. iv) In the event that the Soccer Spreads membership reaches the 200 member limit, potential members may join a waiting list by sending a non-refundable deposit of �20 (twenty pounds) to Soccer Spreads together with their application details. This deposit will be used against the members first season subscription when a membership place becomes available. If a potential member does not take up full membership when a place becomes available then the �20 deposit will be lost. Termination by the Member i) The Member may demand termination of the Service at anytime during any type of membership. ii) Termination requests must be received in writing or via e-mail before the Service shall be discontinued. iii) No refund shall be due to the Member in the event of the Member demanding termination of the Service. Termination by the Service Providor i) The Service Providor may immediately terminate any membership that may have been previously accepted if the Member is in breach of any of the terms and conditions contained herein. ii) No refund shall be due to the Member in the event of the Service Providor terminating membership of the Service. iii) The Service Providor may turn down or refuse to take any membership without providing any reason for refusal. Failure i) The Service Providor shall not be liable for electonic failure or service failure of any kind through any unforeseen circumstance that is deemed to be out of the Service Providor's control. ii) In the occurrence of any service failure exceeding 2 (two) consecutive days the Service Providor without prejudice may upon written request make an ex gratia payment to the Member of a daily pro-rata rebate of rates paid for the complete period where service was not provided. iii) The pro-rata rate referred to in clause ii) shall be equivalent to the weekly rate divided by 7 (seven) the Member has paid for the Service multiplied by the complete number of days where the service has not been provided up to and including the day normal service is resumed. iv) The pro-rata rate referred to in clause ii) may be paid at the Service Providors absolute discretion. Price of Membership i) The Service Provider reserves the right to reduce the price of membership as the current football season progresses without giving notice to any other party. This reduction will not reduce the pro-rata weekly cost of the Service below that of the pro-rata weekly cost of membership taken out at the start of any season. ii) No reduction in price of membership shall occur until at least the sixth week of the current season. The reduced cost of membership shall not fall below 75% of the cost of membership at the start of the season until at least week 15 (fifteen) of the current season. The reduced cost of membership shall not fall below 50% of the cost of membership at the start of the season until at least week 25 (twenty five) of the current season. Payment i) Payment for the Service shall be by cheque (in pounds sterling) drawn on a British bank or building society made out to "Soccer Spreads" and sent to: Soccer Spreads 193 Market Street Hyde Cheshire SK14 1HF. Discussion Forum i) By visiting the Soccer Spreads website and/or the Soccer Spreads Discussion Forum, you acknowledge that you (the Member) are solely responsible for your own communications and the consequences of posting said communications.
